Overview
HNBF is a diversified non-bank lender offering leasing, vehicle finance, microfinance, housing finance, gold loans and deposits. Its repositioning toward secured, asset-backed lending is supported by the Prime Finance amalgamation and the Hatton National Bank relationship.
The most important recent change is the completed 2:9 rights issue at LKR 5.50, which expanded the share count and attracted subscriptions above the original offer. The latest quarter also shows strong operating profitability, although the capital structure remains highly geared.
Price performance
HNBF rose 11.5% over one year while the ASPI gained 6.8% over the same period. The voting share closed at LKR 8.20 on 25 August 2026, the price used for the reported multiples.
The share sits at 46.7% of its 52-week range. Recent 60-day volatility was 30.3% below its own annual level, while 20-day volume was 13.9% below its recent average, indicating quieter trading conditions rather than a confirmed change in direction.
The 2:9 rights issue with a LKR 5.50 issue price occurred on 2 June 2026. Returns are therefore best read on the adjusted share basis, as the unadjusted and adjusted performance series diverge because of the corporate action.
Valuation
HNBF trades at 9.59 times earnings and 1.76 times book value, versus finance-sector medians of 7.28 times earnings and 0.95 times book value. Its P/E is at the 60th sector percentile, while its P/B is at the 83rd percentile, making the book-value premium the clearer valuation stretch.
The premium is supported by an 18.2% audited-year return on equity, but the valuation leaves less room for weaker profitability or higher credit costs. The reported dividend yield is 0.0%, and no dividend history is supplied, so the direction of the payout cannot be assessed.
News and sentiment
HNBF had 15 material articles in the 90-day window, comprising one positive, three negative and 11 neutral reports. Coverage over the last 30 days was two articles, about normal against its 3.2-article monthly baseline.
The confirmed 2:9 rights issue went ex on 2 June 2026. Recent company developments include the appointment of Prasad Samarasinghe as chairman effective 28 August, new board appointments and a change of auditors. Fitch's 20 August rating action concerned parent HNB, not HNBF itself.
Financials
The June 2026 company-basis quarter produced revenue of LKR 3.25 billion, operating profit of LKR 1.16 billion and net profit of LKR 430 million. Operating margin widened from 33.0% in March to 35.8%, while net margin narrowed from 15.4% to 13.2%. June's operating and net margins were each the best of five comparable June quarters.
June 2025 was filed on a group basis, so its 26.2% operating margin and 8.8% net margin are not like-for-like comparisons with June 2026. Revenue and profit year-on-year growth were consequently withheld. The latest quarter's LKR 733 million gap between operating and net profit shows that charges below operating profit still absorb a substantial share of earnings.
Owners' equity was LKR 9.69 billion and the share count was 2.08 billion at June 2026, compared with 1.78 billion shares in March 2025 after the rights issue. The audited year ended March 2026 was also filed on a group basis, so its equity should not be compared directly with the prior company-basis year.
Risks
The largest risk is leverage: group debt was LKR 10.50 billion, equal to 113.4% of owners' equity at March 2026. This was reported on a group basis, unlike the prior company's 62.8% gearing, so the change is not a like-for-like trend, but the latest level remains material.
Interest cover was not disclosed, while current ratio, cash conversion and free cash flow are not meaningful measures for this lending business. Credit and regulatory pressure remain relevant: sector data recorded slower lending growth after May's tightening, and higher risk weights on gold-backed loans were estimated to reduce finance-company Tier 1 capital by about 1pp to more than 5pp, with HNBF among the affected names.
The LKR 733 million below-operating-profit drag also matters because strong operating earnings do not translate one-for-one into profit available to shareholders.
Outlook
As at 27 August 2026, the next material test is the filing for the quarter ending 30 September 2026. Exchange timing data places that filing between 10 November 2026 and 26 January 2027; it will supersede the June figures used here and should provide the first subsequent check on post-rights performance.
Falling Treasury yields and surplus money-market liquidity are easing the broader funding environment for finance companies, but slower sector lending growth and tighter compliance requirements remain counterweights. The current data cannot isolate how much of HNBF's stronger capital position will translate into lending growth or how gold-loan risk-weight changes will affect its own capital ratios.
